Capitalmind Investec acted as exclusive M&A advisor to ServerBase on the sale to synaforce, a portfolio company of Afinum.

synaforce is a provider of innovative IT services in the areas of data centres, managed services, security, cloud solutions and software that has emerged from highly specialised regional providers. The company is currently active at seven locations throughout Germany and operates its own data centres. synaforce has formulated the aim of creating a flexible network of connectivity to meet all challenges in IT its customers may face. The company has been in the portfolio of the German-Swiss financial investor Afinum since 2022.

ServerBase was founded in 2010 by Pascal Rebsamen and is offering hosting and cloud solutions from its proprietarily developed cloud platform mainly to SME customers. The company has positioned itself very successfully in the market via its consistent innovation, an outstanding degree of process automation and a tailored customer service.

The acquisition of ServerBase helps synaforce to further expand its product portfolio with a fully automated cloud platform, which brings the possibility to further scale and grow its existing business. At the same time, the transaction is synaforce’s first step into the Swiss market, marking a significant step in the further growth story of the company.

What we did

The Capitalmind Investec team advised the owner of ServerBase throughout the M&A project until the successful completion of the transaction, including:

• Creation of marketing documents (IM and teaser),
• Presenting the equity story and the business plan,
• Organizing a competitive bidding process,
• Preparation, organization and accompaniment of due diligence,
• Price negotiations,
• Support in the negotiation of legal documentation,
• Coordination of all parties involved, including legal and tax advisors.
