{"id":5160,"date":"2018-09-18T23:09:27","date_gmt":"2018-09-18T21:09:27","guid":{"rendered":"https:\/\/staging.capitalmind.com\/deals\/adf-group-management-buy-out\/"},"modified":"2020-10-08T09:12:17","modified_gmt":"2020-10-08T07:12:17","slug":"mbo-der-adf-group","status":"publish","type":"deals","link":"https:\/\/working.capitalmind.com\/de\/deals\/mbo-der-adf-group\/","title":{"rendered":"MBO der ADF Group"},"content":{"rendered":"<div>\n<h2>Unsere Arbeit<\/h2>\n<div>\n<p>Investec unterst\u00fctzte die Groupe ADF w\u00e4hrend des gesamten Buy-out-Prozesses: VDD-Management, Gesch\u00e4ftsplan-Modellierung, Auswahl relevanter PEs, Organisation eines Kompetitiven Bieterprozesses, Unterst\u00fctzung bei der Durchf\u00fchrung w\u00e4hrend der Due Diligence-Phase, Strukturierung der Transaktion, Verhandlung der Bedingungen der rechtlichen Dokumentation, etc.<\/p>\n<p>Investec beriet auch bei der Aufnahme von vorrangigem Fremdkapital in H\u00f6he von 150 Mio. \u20ac, das aus Krediten des Cr\u00e9dit du Nord und von Artemid finanziert wurde.<\/p>\n<\/div>\n<\/div>\n<h2>\u00dcber den Deal<\/h2>\n<div>\n<p>Die Groupe ADF bietet intelligente industrielle L\u00f6sungen f\u00fcr die Planung, den Bau und die Wartung von Industrieanlagen in der Luft- und Raumfahrt, der \u00d6l- und Chemie- sowie der Energieindustrie.<\/p>\n<p>Die Groupe ADF ist f\u00fcr ihre F\u00e4higkeit bekannt, die Leistung von Industrieanlagen in jeder Phase ihres Lebenszyklus zu optimieren und arbeitet Hand in Hand mit ihren Kunden an der Planung und Umsetzung der &#8222;Fabriken der Zukunft&#8220;. Die Gruppe st\u00fctzt sich auf ein talentiertes und engagiertes Team von \u00fcber 3.300 Mitarbeitern und erwirtschaftete 2017 in 43 L\u00e4ndern einen Umsatz von 400 Millionen Euro.<\/p>\n<p>Mit der Unterst\u00fctzung von Actomezz, Etoile ID und ACE Management hat ADF seine Einnahmen seit dem sponsorlosen MBO im Jahr 2014 verdoppelt, insbesondere dank der \u00dcbernahme von Lat\u00e9co\u00e8re Services im Jahr 2016. Die Gruppe tritt nun in eine neue Entwicklungsphase ein, die drei Schl\u00fcsselelemente umfasst: die Fortsetzung ihrer Internationalisierung, die St\u00e4rkung ihres Angebots mit hohem technologischen Gehalt und die Weiterentwicklung ihrer operativen Exzellenz.<\/p>\n<p>F\u00fcr dieses neue Kapitel schlie\u00dft sich das Managementteam (unter der Leitung von CEO Marc Eliayan) mit neuen Finanzpartnern aus der Minderheit, Ab\u00e9nex und Etoile ID, zusammen. Die Vereinbarung hat auch eine zus\u00e4tzliche Fremdfinanzierung gesichert, die es der Gruppe erm\u00f6glichen wird, ihre strategische Entwicklung und ihre externen Wachstumspl\u00e4ne
