Capitalmind Investec acted as the exclusive financial advisor to Zentrum für Gefässmedizin, Gefässpraxis am See, and Die Gefässspezialisten in the sale to medermis clinics.
The three involved vascular centers are among the leading institutions in Switzerland and together offer the complete range of services in angiology and phlebology.
With this transaction, the medermis clinics group expands its existing service portfolio in Switzerland to include top-level vascular medicine. The three vascular centers, which hold market-leading positions in the cantons of Aargau, Lucerne, Zug, and Basel, offer leading medical expertise in the integrated diagnosis and treatment of venous and arterial diseases including a high number of minimally invasive procedures with a combined team of 16 experienced angiologists.
The medermis clinics group is a quality provider in the fields of dermatology, phlebology, and aesthetics, currently operating more than 60 locations in Germany and Switzerland with over 1’100 employees, including 235 physicians.
The partnership between the vascular centers and medermis clinics is focused on continuity: the owners of the three vascular centers will continue to lead medically and entrepreneurially and, as co-shareholders and in close collaboration with medermis clinics, will further drive the success of their competence centers.
Our role
The Capitalmind Investec team advised the owners of the three vascular centers throughout the entire M&A process until the successful completion of the transaction, including:
- Preparation of business plan and marketing materials,
- Identification of potential buyers (strategic and financial),
- Market approach and realization of a competitive sales process,
- Preparation and support of due diligence,
- Conducting price negotiations,
- Support in negotiations of the legal documentation,
- Coordination of all involved parties, incl. legal and tax advisors.
