Het bedrijf werkt niet alleen samen met OEM&#8217;s door hun technische teams te adviseren tijdens de ontwerpfase van hun producten, maar ook met leveranciers van elektronische componenten voor wie het bedrijf optreedt als franchisedistributeur. La Tenicka Due opereert voornamelijk in Noord-Itali\u00eb en vertrouwt op een logistiek centrum met een totale oppervlakte van 3000 m\u00b2 ten noorden van Turijn. Het bedrijf rapporteerde een omzet van \u20ac24m in 2022.<\/p>\n\n\n\n<p>Met de overname van La Tecnika Due in Itali\u00eb begint Syscom Prorep Group met het opschalen van haar activiteiten op Europees niveau. De combinatie biedt ook potenti\u00eble commerci\u00eble synergie\u00ebn en stelt La Tecnika Due in staat om haar productportfolio uit te breiden en haar marktposities in Noord-Itali\u00eb, voornamelijk in Lombardije, te versterken. De nieuwe groep rapporteert een omzet van ongeveer \u20ac60 miljoen in 2022 en heeft meer dan 70 mensen in dienst.<\/p>\n\n\n\n<p>De overname van La Tecnika Due werd gefinancierd door (i) bankschulden met steun van BPRI en CEIDF, (ii) &#8220;Relance&#8221;-obligaties onderschreven door Arkea Capital en (iii) en cash-in van de aandeelhouders van Syscom-Prorep.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-onze-rol-als-m-a-adviseur\">Onze rol als M&amp;A Adviseur<\/h2>\n\n\n\n<p>Investec adviseerde de aandeelhouders van Syscom-Prorep tijdens het hele overnameproces: identificatie en benadering van een beperkt aantal doelwitten, opbouwen van vertrouwensrelaties met de aandeelhouders van de doelwitten, vooronderzoek en waardering van de doelwitten, onderhandeling over de intentieverklaring, beheer van het due diligence-proces, assistentie bij de onderhandelingen met de aandeelhouders van La Tecnika Due en gelijktijdige onderhandelingen over de financiering van de overname (schuldfinanciering, obligaties, eigen vermogen).<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p><em>Investec is al betrokken geweest bij onze laatste twee deals.
